INVOICE TERMS
Order Acceptance
All orders are subject to Besatechnologies’ approval. Orders may not be canceled or rescheduled without Besatechnologies’ written consent. Certain orders may be designated as non-cancelable, non-refundable (NCNR), which, if specified on the front page of the invoice, will override any inconsistent terms.
Pricing
Quoted prices are valid as specified on the front page of the invoice and apply to products only. Prices do not include transportation, insurance, handling, duties, or taxes. Besatechnologies reserves the right to modify payment terms, require payment in advance, or delay/cancel shipments based on the customer’s creditworthiness.
Payment
Invoices must be paid in full without offset or deduction. If extended payment terms are granted, late payments will incur interest at 1.5% per month on the outstanding balance, along with any attorney fees and collection costs.
Delivery and Title
Delivery terms are FOB (Free on Board) or EXW (Ex Works as defined in Incoterms 2011) from Besatechnologies’ facility. Title and risk of loss transfer to the customer upon shipment. Besatechnologies is not liable for delivery delays and reserves the right to make partial shipments.
Acceptance and Returns
Customers must report any damage, shortage, or discrepancies within 10 days of delivery. After this period, the product is considered accepted. Returns require a Return Material Authorization (RMA) number and may be subject to a restocking fee of 20% of the invoice price. Unauthorized returns may be disposed of after 20 days without crediting the customer’s account.
Warranty
Besatechnologies extends a one-year limited warranty for products, contingent on proper storage and handling. This warranty does not cover misuse, static discharge, or improper storage. Besatechnologies may choose to repair, replace, or refund products that fail to meet manufacturer specifications.
Limitation of Liability
Customer’s exclusive remedy is limited to the purchase price of the goods. Besatechnologies’ total liability will not exceed the purchase price, and Besatechnologies is not liable for any indirect, special, incidental, or consequential damages.
Force Majeure
Besatechnologies is not liable for delays or failures caused by events beyond its control, such as natural disasters, governmental actions, strikes, or computer failures. In such cases, delivery dates will be extended accordingly.
Product Use
Products are not authorized for critical safety applications where failure could result in injury or catastrophic damage. Any such use is at the customer’s sole risk.
Intellectual Property
No rights or licenses are granted to use any intellectual property unless expressly permitted. Besatechnologies disclaims any warranty against infringement related to the products sold.
Export Control
Products may be subject to export control laws. The customer is responsible for obtaining necessary licenses and must comply with all applicable regulations, especially regarding restricted countries or military applications.
Product Information
Product specifications are provided “as is.” Besatechnologies makes no warranties regarding the accuracy or completeness of this information.
Headings
Headings in this invoice are for reference only and do not affect the meaning of the terms.
No Waiver
Failure to exercise any right under this invoice does not constitute a waiver. Waivers must be in writing and signed by the party granting them.
Severability
If any provision is deemed invalid or unenforceable, the remaining provisions will remain in effect.
Complete Agreement
This invoice constitutes the entire agreement between the parties and may only be amended by a written document signed by both parties.
Governing Law
This invoice is governed by the laws of the Province of Quebec, with exclusive jurisdiction in the courts of Montreal, Quebec.
Language
The parties agree that this invoice and related documents be drafted in English.
